General Terms and Conditions

Last Updated: May 11, 2022 Please read these Terms of Service (“Terms”) carefully as they contain important information about your membership. By joining MOX @ OXLEY (operating under Invade Oxley Pte Ltd) as a member, you agree to comply with and be bound by these Terms. These Terms constitute a legally binding agreement ("Agreement") between you and Invade Oxley Pte Ltd ("MOX") governing your access to and usage of MOX's premises and services.

  1. Scope of MOX Services MOX is a co-working space provider that enables registered users (“Members” or “Member”) and guests of Members ("Guests" or “Guest”) to use our physical premises (located at 71 Oxley Rise, The Rise @ Oxley Singapore 238698) facilities, and services including but not limited to printing equipment, wireless Internet, community events and online membership portal ("Community Portal").

  2. MOX Community Membership and Membership Fees At the point of signing up, the prevailing membership fee applies. Each membership plan may have its own terms regarding cost and contractual terms - please check before signing up. Each membership is for one person and is non-transferrable. Paid membership fees are non-refundable. All MOX desk membership plans Hot Desk, Fixed Desks and Private offices have no minimum commitment period. Except for memberships with contracts, membership fees are also subject to fee revisions with a one-month notice period.

  3. Payment and Renewal of Community Membership Fee All memberships are renewed automatically per month, with the renewal date being the first day of each month. For example, if a Member signs up on 5th of February, his/her renewal date for March will be 1st of March. Membership fees are due 7 days after the invoice is sent out; invoices are typically delivered on the 20th of each month before renewal date.
    Should you choose to discontinue your membership plans, notification must be provided to MOX via the Community Portal or email before the invoice is delivered for the renewing month. If this notification is not provided in time, the membership fees for the renewing month will apply. Should you choose to save your credit card in the Community Portal, MOX will automatically charge your nominated card for all payable charges after the due date of all invoices and all charges shall not be refundable. Cancellations in the middle of an active membership month is not an eligible case for any refund of paid up fees.

  4. Membership Entitlements Each MOX member with a paid and valid membership will be entitled on a pro-rata basis to: Access to MOX WiFi, where it is provided Parcel Holding for up to 14 days Usage of shared facilities Venue credits for access to Meeting Room, Multimedia room per month Member's rates for booking of venues Invitation to MOX Community Events and Talks Access to Social pantry

  5. Member's Obligations While accessing the premises and MOX, the Member is obliged: Behave in a manner that respects the rights of other members who are using the space or facilities. Not to violate any applicable laws or regulations of Singapore. Not to attempt to gain unauthorised access to any materials or areas of MOX. Not to attempt to modify, reproduce, disassemble any programs, materials or artifacts associated with MOX. Not to remove from MOX, any furniture or equipment provided, except with prior permission and written notice from MOX and to replace similar articles of at least equal value or pay the value of the articles if required by MOX. Not to disclose any confidential information provided to you in the course of your MOX community membership, other than for purposes authorised by the provider of - the information. Not to abuse the facilities of MOX and only use the premises for purposes of its intended usage. To be responsible for rectifying any damage caused to the premises or properties of MOX. To halt any activity deemed objectionable, dangerous, unlawful or indubitably infringes the intellectual property rights of MOX, not limiting to any act of potential detriment to MOX’s reputation. Not to employ or otherwise engage any foreigner unless he/she holds a valid work permit or employment pass permitting him/her to work at the premises and the Member shall not use, permit or suffer the premises to be kept or used as a place in which any person is employed in contravention of the Immigration Act (Cap. 133) or Employment of Foreign Manpower Act (Cap. 91A), and to indemnify MOX against all costs, claims, liabilities, fines or expenses whatsoever which may fall upon MOX by reason of any non-compliance thereof. MOX reserves the right to terminate a member's membership at immediate notice, should the member fail to observe any of the obligations above. In such a termination, unused portions of the membership shall be refunded on a pro-rated basis.

  6. Indemnification The Member is aware of the risks associated with the use of MOX's premises and hereby agrees to indemnify and defend MOX and MOX's subsidiaries, affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties directly based upon or directly arising out of the Member’s negligent actions, errors and omissions, and wilful misconduct in connection with the participation in or use of the services. In the event that a claim or lawsuit should occur in violation of this agreement, the Member shall be liable for any reasonable attorney’s fees and costs incurred in connection with the defense of such claim or lawsuit if such costs are determined and awarded by the Court.

  7. Non-Disparagement The Member shall refrain from making any statements or comments of a defamatory or disparaging nature to any third party regarding MOX or any of MOX's officers, directors, employees, personnel, agents, policies, services or products, other than in compliance with the law.

  8. Assignment and Subletting The Member must not assign, sublet, license or otherwise share or part with possession of the premises or any part thereof without prior written consent of MOX.

  9. Exclusion of Liability Notwithstanding anything herein contained, MOX shall not be liable to the Member or the Member's occupiers, nor shall the Member or the Member’s occupiers have any claim against MOX in respect of: any delay in supplying or any failure to supply, or any limitation, curtailment, rationing, defect, restriction or interruption in any of the services or facilities mentioned hereunder serving the premises and/or the building or any failure or inability or delay by MOX in fulfilling any of MOX's obligations under this Agreement by reason of any circumstances beyond MOX's control (including but not limited to fire, flood, act of God, any laws, acts, or omission of any authorities, riot, civil commotion, curfew, emergency, labour dispute, shortage of manpower, fuel, materials, electricity of water); any act, omission, default, misconduct or negligence of any contractor, architect, engineer or consultant nominated or approved by MOX pursuant to any provision of this Agreement, and any such contractor, architect, engineer or consultant appointed by the Member shall not be deemed to be an agent, employee or contractor of MOX; any death, damage, injury or loss resulting from short circuit of electrical wiring, explosion, falling plaster, escape of water or arising out of any leakage or defect of the piping, wiring and sprinkler system in the premises or the building or part thereof; any death, damage, injury or loss caused by any other persons howsoever and wheresoever; or any diminution or obstruction of light, air or view by any building or structures that may be erected within or adjacent to the building or any part thereof; or in any respect of any claims, actions, losses, damages, costs and expenses whatsoever that may be brought against, suffered or incurred by the Member or the Member's occupiers or any other persons resulting from any of the foregoing.

  10. Governing Law and Submission to Jurisdiction This agreement shall be governed by and construed in accordance with the laws of Singapore and the parties hereto submit themselves to the jurisdiction and the courts of Singapore.

  11. Exclusion of Third Parties A person who is not a party to this Agreement has no right under The Contracts (Right of Third Parties) Act (Cap. 53B) to enforce any term of this Agreement. If you have any questions about these terms, please email us at hello@themox.co.
